CONDITIONS OF SALE INCORPORATING SURETYSHIP

1. The following conditions shall apply to all sales of all goods by BUILDMAX DISTRIBUTORS (PTY) LTD. 2. Any agreement contrary to the terms hereof shall not be binding on BuildMax Distributors (Pty) Ltd unless reduced to writing and signed by all parties hereto. 3. BuildMax Distributors (Pty) Ltd shall not in any part responsible for failing in performing its obligations in terms hereof. 4. In the event of BuildMax Distributors (Pty) Ltd instituting legal action against the DEBTOR, the Debtor shall be liable for and shall pay all legal costs incurred by BuildMax Distributors on the attorney and own client scale, including tracing agents. 5. Any extension of time or indulgence of whatsoever nature granted by BuildMax Distributors to the DEBTOR shall in no way be construed as being a waiver of BuildMax Distributors’ rights in terms hereof and shall be without prejudice to its rights to enforce the terms hereof against the DEBTORS at any time. 6. In the event the DEBTOR being a Company Incorporated with limited liability of a close corporation, the person who signs the delivery note for the goods for/and on behalf of the Debtor thereby binds himself as surety and Co-Principal with the DEBTOR. 7. Notwithstanding anything to the contrary herein, if the price does not appear on this document, the DEBTOR agrees to pay whatever price is charged by BuildMax Distributors for goods. 8. All goods supplied by BuildMax Distributors are sold voetstoots and BuildMax Distributors makes no warranties or representations either expresses or implies as to the suitability of goods for any purpose whatsoever. 9. The goods supplied by BuildMax Distributors shall remain the property of the supplier until such time as they have been paid for in full, but at all risk in such goods shall pass to the DEBTOR on delivery. 10. The responsible person who signs the account application on behalf of the DEBTOR thereby binds himself as Surety and Co Principal Debtor with the DEBTOR and also declared that the Spouse’s power of Attorney has been obtained for him to do so on behalf of the joint estate. 11. The DEBTOR shall under no circumstances deduct any amount from amounts due to BuildMax Distributors as indicated due to BuildMax Distributors as indicated in BuildMax Distributors statements without prior written authority of BuildMax Distributors. 12. The DEBTOR agrees that the law of South Africa will apply to all dealings between the DEBTOR and BuildMax Distributors (PTY) LTD. 13. The DEBTOR hereby consents to the jurisdiction of the Magistrates Court having jurisdictions in respect of any action instituted against the DEBTOR by BuildMax Distributors notwithstanding that such claim may exceed the jurisdiction of the Magistrates Court. 14. The DEBTOR acknowledges that should credit facilities be granted as a result of this application they may be withdrawn by BuildMax Distributors at any time without prior notice. 15. The DEBTOR chooses domicilium citandi et executandi for all notices and processes at the address set out at the DEBTORS registered office/business address. 16. The DEBTOR warrants that the above information is true and correct and undertake to notify in writing any change of details shown above including change of ownership, name and address.

I, the undersigned (Print Name in full), acting on behalf of the DEBTOR and being duly Authorises thereto, do hereby warrant that the above information is true and correct and further, I hereby accept and agree to the terms and conditions as set out above which terms and conditions I acknowledge having read and understood. In particular I acknowledge that by my signature hereto, I bind myself as Surety and Co Principal in solidium with the Debtor unto and in favour of the Creditor or due payment by the DEBTOR of all amounts which may have now or at any time hereafter be payable by the DEBTOR to the Creditor. The domicilium citandi et executandi shall be to the address disclosed on the face hereof.
